Subject of the contract is providing consultancy services concerning the sale of shares Enemona holds in the capital of Lomsko Pivo brewery, and the subsidiary Agro Invest Engineering. The land owned by Agro Invest Engineering, will be transferred to Enemona or a future company for the purposes of Energy Project Lom Lignite. The sum amounts to BGN 1.5 million, which corresponds to 15% of the non-consolidated profit of the company, or a gross of BGN 0.12569 per share. The decision is a result of a series of meetings held with the investment community. Contradictory opinions about the distribution of dividend were spoken out at these meetings, as the expressed views were in the two extremes. In the end, the opinion for distribution of dividends prevailed, provided that the company has passed the crisis and has provided funds (equity and debt) for investments next year. It was considered the limitation of the scope and the extension of the investment program for all projects in progress as a result of raising less than the expected capital with the latest issue of preference shares. The risks that the company prefers not to undertake were taken into account, following which the management decided to expand its investment program. The whole process of decision making to distribute dividends, was preceded by a detailed overview of Enemona’s upcoming investments for 2010. They are focused on the mian projects of the company, namely CHPP on biomass Nikopol and Energy Project Lom Lignite. Another investment goal is the opportunity for expansion and better utilization of the engineering competences of Enemona Group of Companies in Bulgaria and abroad. Since 2006 the Slovak company has been a part of the Italian group ENEL S.p.A . The subject of the contract is Electrical and I&C erection of Units 3 and 4 of Mochovce Nuclear Power Plant in the Slovak Republic. The building has 4 floors with a total build up area of 5 360 sqm and 50 parking spaces. The value of the purchase deal is EUR 2,750,000 no VAT included. The funding is provided through a loan granted by UniCredit Bulbank, amounting to EUR 2,817,783. The acquisition of the above mentioned property will increase the office space used by Enemona from 3 555 sqm to 4 400 sqm, as well as the parking spaces from 20 to 50. By means of the purchase of an office building the company will realize a positive difference in their cash flows. It is formed from the estate, which the company currently pays, the monthly installments on the loan to the bank and the monthly rent payable by BTC for 976 sqm of the property. As a result of these and the reduced costs by combining all offices together, the total annual savings of Enemona amount of BGN 380,000.
